Terms of Use.
Welcome to Insomnia Technologies LLC (“us,” “we,” or “our”). We provide services allowing the redemption of Gift Cards—such as MasterCard, Visa, American Express, and major retailer gift cards (where permitted by law and accepted by Insomnia Technologies LLC)—via telephone or other electronic means. Once your Gift Card is verified and accepted, we will issue payment to you.
We do not resell Gift Cards to any other party, nor do we hold Gift Cards for future use. By accessing or using our services, whether via telephone or through any electronic methods we offer, you agree to be bound by these Terms of Use. These Terms of Use govern your general use of our services and platforms, regardless of whether you are an individual consumer or a business entity. If you redeem Gift Cards with us, you also agree to be bound by our Terms of Redemption. You further agree to be bound by our Privacy Policy, Refund Policy, Financial Disclosure, and Affiliate Disclosure, and to provide any documentation or information requested by us pursuant to our Know Your Customer (KYC) and Anti-Money Laundering (AML) policies.
If you do not agree to these Terms of Use, or any of our other policies, you must not use our services in any form—be it phone, electronic submission, or otherwise—and you cannot conduct business with us until you agree unconditionally to these Terms.
Our aim is not to overwhelm you with legalities, but to ensure the safety, clarity, and compliance of our services with applicable laws.
Disclaimer
While we strive to provide a reliable, user-friendly experience, errors or interruptions may occur. We therefore provide no warranty regarding the uninterrupted operation or performance of our services, whether by telephone, online, or any electronic submission methods (including API). All services are provided on an “AS IS” basis.
We reserve the right to modify, suspend, or terminate any aspect of our services at any time, without notice.
Gift Card Issuer’s Right to Decline
You acknowledge and agree that the ultimate redemption of a Gift Card is subject to acceptance or refusal of the transaction by the Gift Card issuer. The issuer may decline transactions at any time and for any reason, with or without notice to you or us. We do not control any decision made by the Gift Card issuer; if your Gift Card is declined, Insomnia Technologies LLC bears no liability for such refusal.
In the event that the Gift Card issuer declines a transaction, we may, at our sole discretion, opt not to redeem your Gift Card. You consent that we may contact—or request that you contact—the Gift Card issuer for further details regarding such decline. You agree to release and hold harmless Insomnia Technologies LLC from any liability, claim, or damage arising from or related to the Gift Card issuer’s decision to decline the redemption.
Eligibility of Use
We operate under the laws of the United States of America and specifically the State of Wyoming. Our services are available to individuals who are at least eighteen (18) years old. If you are under 18, you must obtain explicit parental or legal guardian consent before using our services.
We do not conduct business with persons or entities located in jurisdictions or countries sanctioned by the United States Government. If you believe your location may be sanctioned, please contact our compliance department at legal@insomniaholdings.com to determine your eligibility.
Accounts & Submission of Information
An account is deemed created whenever we collect information from you—whether over the phone or through any other electronic method provided by Insomnia Technologies LLC.
Safety is our top priority; as such, you hereby agree that:

You are duly authorized and have the capacity to create an account as either an individual or a legally recognized business entity.

You agree that you will not share your account details or allow unauthorized individuals or entities to access your account.

You must contact us immediately if you suspect any unauthorized use or a security breach of your information.

You agree to provide and maintain accurate and complete personal or business information.

You will not use our services if you do not agree to all of our policies, including the Terms of Use, Terms of Redemption, Privacy Policy, Refund Policy, Financial Disclosure, and Affiliate Disclosure.
Our Intellectual Property Rights
All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, “Content”) contained in our services are owned or licensed by Insomnia Technologies LLC and are protected by various intellectual property laws. You must not use our intellectual property without prior written consent. For any inquiries regarding the use of our intellectual property, email legal@insomniaholdings.com. Lack of a response does not indicate approval.
Limited Liability
Except where prohibited by law, Insomnia Technologies LLC shall not be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including but not limited to lost profits or revenue, even if we have been advised of the possibility of such damages.
In the event that Insomnia Technologies LLC is found liable for any damage or loss arising out of or in connection with your use of our services or Content, our liability shall not exceed the greater of ONE HUNDRED UNITED STATES DOLLARS ($100.00) or the total value of Gift Cards you have redeemed through us.
Where certain jurisdictions do not allow specific limitations of liability, you agree to waive such limitations to the fullest extent permissible under applicable law.
Indemnity
You agree to indemnify, defend, and hold harmless Insomnia Technologies LLC, its officers, directors, employees, subsidiaries, affiliates, and successors from any and all claims, liabilities, costs, and expenses (including attorneys’ fees) arising out of or in connection with:

Your use of or inability to use our services, telephone lines, platforms, or API.

Any breach by you of these Terms of Use or any other policy referenced herein.

Your violation of any law or the rights of a third party.
Violation of the Terms of Use
We reserve the right, at our sole discretion, to refuse service to anyone for any reason or no reason at all, at any time. We further reserve the right, without notice, to suspend or terminate your access to our services (whether phone-based or electronic) if we determine you have violated these Terms of Use or any other policy.
Such violations may cause irreparable harm for which monetary damages may be inadequate, and you consent to us seeking injunctive or equitable relief in addition to any other remedies allowed by law.
We may also terminate your use of our services without prior notice if:

Required by law enforcement or other governmental authorities.

You request voluntary account deletion.

We discontinue or materially modify our services.

We experience unexpected technical, security, or operational issues.
Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the United States of America and specifically the State of Wyoming. You consent to the exclusive jurisdiction of the courts in Wyoming for the resolution of any disputes arising from or relating to these Terms of Use or the services provided by Insomnia Technologies LLC.
Formatting and Display Disclaimer
Formatting choices such as headings, layout, or fonts are solely for convenience. Any visual inconsistencies do not change the meaning or enforceability of these Terms of Use. In the event of a formatting error, the original intent remains in full force and effect.
Severability
If any provision of these Terms of Use is determined to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary so that the remaining provisions remain in full force and effect.
